TERMS AND CONDITIONs
Contract Term & Effective Date
- Annual Membership:
- Effective on the date of purchase.
- Valid for twelve (12) months.
- This is a non-recurring membership and will not automatically renew.
- Functional Fit Monthly Membership:
- Effective on the date of purchase.
- Automatically renews each month unless cancelled in accordance with this Agreement.
- Either party may terminate with notice as described in the Cancellation sections.
Cancellation & Right to Cancel (California Civil Code § 1812.85)
Five-Day Cooling-Off Period (Right to Cancel)
YOU HAVE THE RIGHT TO CANCEL THIS MEMBERSHIP AGREEMENT FOR ANY REASON WITHIN FIVE (5) CALENDAR DAYS AFTER THE DATE YOU SIGN THIS AGREEMENT. IF YOU CANCEL WITHIN THIS FIVE-DAY PERIOD, YOU WILL RECEIVE A FULL REFUND OF ALL PAYMENTS MADE, LESS THE VALUE OF ANY SERVICES ALREADY PROVIDED.
If total payments required under this Agreement ever exceed the thresholds in California Civil Code § 1812.85, you may be entitled to a longer cancellation period as provided by law.
To cancel during the five-day cooling-off period, you must send notice by one of the following methods:

Your cancellation notice must be received by 5:00 PM PST on the fifth (5th) calendar day after the date you signed this Agreement.
Cancellation After the Five-Day Period
- Annual Membership (Non-Recurring):
- After the five-day cooling-off period, the Annual Membership fee is non-refundable, except as required by law (e.g., qualifying disability, relocation, or facility non-performance).
- If you later choose to enroll in the Functional Fit Monthly Membership, your Annual Membership will remain in effect for the original 12-month term and no refund, proration, or credit will be applied to the Annual fee.
- Functional Fit Monthly Membership (Recurring):
- You may cancel at any time after the five-day cooling-off period by submitting notice via email or phone as described in Section 3 (Easy Cancellation Methods).
- Cancellation is effective on the date your notice is received.
- You will not be charged for future billing cycles after cancellation is confirmed.
- Charges for the current billing period are not prorated or refunded.
Early Termination Rights
You may cancel this Agreement without penalty (with pro-rata refund of unused prepaid services as required by law) if:
- You become physically disabled and a licensed physician certifies that the disability prevents your use of our services (physician letter required).
- You relocate your residence more than twenty-five (25) miles from our facility.
- You experience financial hardship or relocate out of California, to the extent covered by applicable California law.
- IMTI permanently closes or fails to provide services as required under applicable law.
You must provide reasonable written proof within thirty (30) days of the qualifying event. Any required refund will be processed within a reasonable time (e.g., within 10–14 business days) after approval of your documentation.
Easy Cancellation Methods
For Functional Fit Monthly Memberships, you may cancel using any of the following methods, which are at least as easy as the method used to sign up:

Your cancellation will be processed promptly upon receipt. You will receive written confirmation of cancellation (via email) within two (2) business days. No further charges will be applied after your cancellation is confirmed.
Payment Terms
Billing Date
For monthly memberships, your renewal date will be the same calendar day each month as the date of purchase. If the renewal date falls on a weekend or holiday, billing may occur on the next business day.
Price Changes
- IMTI may change the membership fee for monthly memberships with at least thirty (30) days' advance notice.
- Notice will be sent to the email address you provide.
- If you do not agree to the new price, you may cancel your membership at any time during the notice period without penalty.
No Refunds for Partial Months
Membership fees are not prorated. If you cancel after your billing date, your membership remains active through the end of the current billing cycle and no partial refund will be issued for that month.
Maximum Annual Payment
Total payments under this Agreement will not exceed any applicable maximum limits set by California law.
Session Packages & Package Terms
Package Validity
- Packages are valid for twelve (12) months from the purchase date unless otherwise stated.
- Any unused sessions expire twelve (12) months after the purchase date.
- Package pricing is locked at the member rate in effect on the purchase date.
Membership Status Requirement for Packages
- Your membership must remain active for the entire duration of any member-priced package you purchase.
- If you purchase a package while your Annual Membership or Functional Fit Monthly Membership is active and the package sessions extend beyond the current membership term, you must renew or maintain an active membership so that your membership remains in effect for the entire period during which those package sessions are used.
- If you choose not to maintain an active membership, remaining sessions will be handled under the "Refunds and Status After Cancellation" rules below.
Refunds and Status After Cancellation
- Packages are non-refundable once purchased, except as required by applicable law or this Agreement.
- If your membership is cancelled for reasons other than those that give you a statutory right to a refund (such as certain disability, death, relocation, or facility non-performance events as defined by California law), any remaining prepaid package sessions will convert to non-member pricing.
- To keep the same number of sessions, you will be required to pay the difference between:
- The member rate originally paid, and
- The then-current non-member rate for each remaining session.
If you choose not to pay the difference, you may elect either to:
- Use a reduced number of sessions equal to the dollar value of what you originally paid, calculated at the then-current non-member rate; or
- Forfeit any remaining sessions, subject to any refund rights provided under applicable California law.
PRIVACY & DATA USE
IMTI collects your personal information (name, email, phone number, address, date of birth) in order to:
- Process membership payments and billing
- Provide and administer membership benefits and services
- Send membership renewal, cancellation, and policy notices
- Send promotional offers and updates related to IMTI services
Your information will not be sold or shared with third parties except as required by law or as necessary to process payments and administer services (e.g., payment processors). By signing this Agreement, you consent to IMTI contacting you by email, phone, or text regarding your membership and services.
MODIFICATIONS TO AGREEMENT
IMTI may modify this Agreement, including membership rates, with at least thirty (30) days' written notice for material changes. Notice will be sent to the email address you provide. Your continued use of membership benefits after the notice period will constitute acceptance of the modified terms. If you do not agree to the changes, you may cancel your membership during the notice period without penalty.
